- We advised the Retail Trust (a charitable RSL)
in respect of housing corporation policy and regulations; corporate
structure and the use for company limited by guarantee; advice and
management of membership issues in order to restructure in
accordance with best practice; the establishment of a trading arm
as a separate limited liability company; the transfer of
undertakings and obtaining a Charity Commission Scheme and
provision for a subsidiary trust to be established to hold
permanent endowment dealings with the Corporation and the provision
of advice and training or the trustee body.
- We acted for Two Saints (an Industrial and
Provident Society and a charitable RSL) in relation to a merger
with a charitable trust. Advice included dealing with grant
funders and the provision of security, together with advice on
regulatory implications for the security of grant funding in the
new organisation; the transfer of undertakings; together with all
related issues concerning accountability to stakeholders; ensuring
all third party and regulatory consents were obtained (including
dealing with the Housing Corporation) and the change of the rules
of the IPS. Additionally for Two Saints, we advised on a review of
the constitution of the merger body and assisted in a full change
of rules to bring the constitution of the organisation fully up to
date and compliant with best government practice. Including
advising on identifying and consulting with its membership,
obtaining consents from the Housing Corporation, drafting rules,
resolutions and FSA forms and completing filing formalities.
- We co-ordinated a wide range of legal support
for Pilgrim Homes, a charitable RSL, and its subsidiary trading
company. Recent company/charity work has included:
documenting arrangements between the charity and its trading
subsidiary, advising on constitutional changes, considering VAT
issues, advising on options to reduce capital/resident ratios and
on related charitable trusts. This work compliments a wide
range of legal advice provided cross-firm to meet the client's
needs, including assisting on property, pensions, construction and
planning and employment law.
