promoting best practice in HEI
governance
With mergers becoming much more frequent (and
some high profile amalgamations failing during the negotiations)
and increased numbers of incorporations also changing the face of
the sector, the general administrative and governance aspects of
operating a HEI have become increasingly complex.
incorporations, amalgamations and mergers
Increased numbers of incorporations have changed the HEI sector
and the general administrative and governance aspects of operating
a university have become increasingly complex. Alongside this, the
general expectation is that as funding cuts bite, mergers will
become an increasingly common feature of the HEI landscape.
Our team's experience in this area includes:
- constitutional restructuring
- cross jurisdictional educational agreements
- transferring HE/FE colleges out of Local Authority control
- selling an independent Higher Education college associated with
a UK university
charity law and dealings with the
Charities Commission
The Blake Lapthorn HEI team is
supported by a nationally recognised team of charity law
specialists who can help with the overlap between operating an HEI
and complying with the obligations imposed by its charitable
status. The matters our team advises on include:
- advising on the duties responsibilities and liabilities of
governing bodies
- advising on best practice compliance with recent Charity
Commission guidlines on research activity (both charitable and
non-charitable)
- advising on various structures required for the conduct of
conferences for third parties taking into account charity law
compliance and tax and VAT implications
- advising on trading for income generation including advice on
structures and compliance issues
- establishing a number of 'library scheme' structures
- advising on the process and requirements of registration as
registered charities under the Charities Act 2006
- advice to a student union on its relationship with the
university and trading issues and structures
