We have a wide range of experience and skills working for a
range of clients from the largest housebuilders through to regional
and local developers. Our experience includes complex and large
scale projects and here are a few examples to demonstrate this
expertise:
- acting for a leading housebuilder on a major development in
Swindon, providing a planned phase of circa 3,500 dwellings with
multiple developers involved. The transaction involved major
infrastructure, complex title issues, retail units and 3rd party
rights over access land
- acting for a national housebuilder on the acquisition of a
former industrial site and ancillary land for the provision of
around 340 residential units for circa £9 million on a deferred
payment basis with a leaseback of part of the site. The transaction
involved complex negotiation not only of the contract to purchase,
accompanying transfer and leaseback, but also the charge
arrangements to secure the deferred payment, overage payment
obligations and VAT and capital allowance issues
- acting for a national housebuilder on the acquisition,
development and subsequent disposal of playing fields from the
local authority for redevelopment as 135 residential units for
circa £6 million. The work involved negotiation of the contract,
transfer and overage provisions and the subsequent negotiation of
infrastructure agreements and disposals to social housing providers
and plot purchasers
- acting for a local authority on the conditional sale of a
former school and accompanying playing fields for circa £14 million
to a national housebuilder for phased redevelopment as up to 500
residential units; the transaction involved complex drafting and
negotiation of the planning conditional agreement for sale,
pre-emption agreement and an option to buy-back and the legal
charge to secure deferred payments.
- acting for a national housebuilder on the acquisition of a
former office site for the provision of 21 units comprising flats
and houses for circa £2 million. The transaction involved agreeing
a conditional contract dependent upon the acquisition of off-site
rights for the benefit of the development and putting in place
specialist insurance to overcome historic title issues
- acting for a local family owned housebuilder in connection with
the sale of two units constructed on a small parcel of land already
owned by the firm for circa £700,000. The work involved the
preparation of transfers of part providing mutual rights to each
unit over the land being transferred to the other and the
reservation of rights to benefit further adjoining land should this
be developed in the future.
- acting for a local family owned housebuilder in obtaining an
option to purchase a former tannery for a price dependent upon
market value at the time planning was obtained subject to a minimum
fixed price. The transaction involved investigating and reporting
on an unregistered title, drafting and agreeing an option that
entitled the developer to buy once it had secured a satisfactory
planning permission together with the accompanying transfer
- acting for a national housebuilder on the acquisition of a
series of long term strategic options from a number of different
landowners to achieve a land assembly of several hundred acres of
land for potential residential development including negotiating
complex and flexible agreements to deal with equalisation,
considering CIL and numerous title, valuation and infrastructure
issues
- acting for a national housebuilder in connection with a
Collaboration Agreement between three national developers for
the development of over 800 residential units with supporting
infrastructure and public amenities and dealing with numerous
issues including those regarding the decision making process, cost
sharing, the planning process, intensification and phasing of
development, s106 obligations, land partition, SDLT and VAT and
co-ordination of the exercise of options to acquire the relevant
land.
